SaaS Master Agreement

1. Acceptance of Terms
By creating an account, registering, accessing, or using ReplyEarly ("Service"), provided by ReplyEarly Technologies ("Company", "we", "us"), you agree to be legally bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of an organization or business entity, you represent and warrant that you have authority to bind that entity.
If you do not agree with any portion of these Terms, you must immediately cease accessing and using the platform.
2. Description of Service
ReplyEarly provides an enterprise-grade customer communications and WhatsApp CRM SaaS platform. Features include shared multi-channel team inboxes, Meta WhatsApp Cloud API integration, message template submission, broadcast scheduling, visual flow chatbots, AI assistants, sales pipeline management, and e-commerce integrations.
3. Account Security & Responsibilities
You agree to provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens. You must immediately notify ReplyEarly of any suspected security breach or unauthorized access.
4. Meta & WhatsApp Policy Compliance
A primary condition of using ReplyEarly messaging capabilities is strict adherence to third-party platform terms:
Explicit Opt-In Required
You must obtain verified opt-in consent from end-users before sending outbound WhatsApp messages or promotional broadcasts.
Meta Commercial Terms
You agree to comply with Meta Cloud API rate limits, approved WhatsApp message template policies, and business categories.
Anti-Spam & Termination
Sending unsolicited spam messages or fraudulent content will result in immediate suspension or termination of your account.
5. Subscriptions & Billing Terms
ReplyEarly offers monthly and annual subscription plans. Subscription fees are billed in advance on a recurring schedule. Meta 24-hour conversation session charges (Utility, Marketing, Service, Authentication) are charged at direct cost or via your Meta billing setup.
6. Data Ownership & Intellectual Property
ReplyEarly retains all right, title, and interest in and to the platform codebase, branding, UI designs, and documentation.
Customer Ownership: You retain full ownership of all contact lists, customer messages, order logs, and workspace assets. ReplyEarly claims no ownership over your proprietary customer data.
7. Limitation of Liability
To the maximum extent permitted by applicable law, ReplyEarly Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data arising out of or related to your use of the Service.
